Terms of service

These terms govern your use of Reckon3PL, operated by EVDN PTY LTD (ABN 26 697 189 692). By creating an account or using the service you agree to them. If you act for an organisation, you warrant that you have authority to bind it. An order form or negotiated agreement takes precedence over these terms to the extent of a conflict.

Private beta

Private beta coming soon. The beta is completely free for 90 calendar days from your organisation's first account activation. No payment card is required, there is no automatic paid conversion, and the free period does not renew or restart. Continued service requires an agreed paid plan. Invitations, testing scope and transition arrangements will be confirmed before activation.

Service

We provide a cloud-hosted billing and reconciliation platform on your selected plan. Features identified as beta, preview, roadmap or optional integrations may change and are not guaranteed for production use unless included in your order. You are responsible for reviewing billing results, tax treatment and exported records before relying on or issuing them.

Accounts and acceptable use

You must provide accurate account information, protect credentials, maintain appropriate user access and notify us promptly of suspected compromise. You must not misuse the service, interfere with its security or availability, access another customer’s data, upload unlawful material, reverse engineer except where law permits, or use the service in breach of law or another person’s rights.

Your data

You retain your rights in data you submit and give us the rights necessary to host, copy, process, transmit and back it up to provide and secure the service. You are responsible for having authority to submit it. We handle personal information as described in ourprivacy policy and do not acquire ownership of customer data.

Availability

Any service level, support response commitment or service credit applies only if it is included in your order or a separate SLA. We may perform maintenance and may suspend access where reasonably necessary to address security, legal, non-payment or material acceptable-use risks.

Fees

Fees, billing intervals and usage charges are shown at checkout or in your order. Publicly displayed AUD dollar prices include 10% GST. Unless stated otherwise before purchase, subscriptions renew monthly and are charged in advance, with usage charges billed in arrears. We will give reasonable prior notice of price changes, which apply from a later renewal. Overdue undisputed amounts may lead to suspension after notice and a reasonable opportunity to pay.

Termination

You may cancel at any time through the available account process or by contacting support; cancellation takes effect at the end of the current paid period and stops renewal. Except where law or your order requires otherwise, fees already paid are not refundable. Either party may terminate for an uncured material breach after reasonable written notice, or immediately where the breach cannot be remedied. On request made before termination or within 30 days afterwards, we will make a standard export reasonably available. We may then delete customer data subject to legal, audit and backup-retention requirements.

Intellectual property and feedback

We and our licensors retain rights in the service, software, documentation and branding. You may use them only as necessary to use the service under these terms. If you provide feedback, we may use it without restriction or payment, but this does not give us rights in your customer data.

Liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, and each party’s aggregate liability under these terms is limited to fees paid or payable in the 12 months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, breach of confidentiality, infringement of the other party’s intellectual-property rights, your payment obligations, or liability that cannot lawfully be excluded or limited. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law or other law that cannot be excluded.

Changes to these terms

We may update these terms for future subscriptions. For an existing subscription, we will give reasonable notice of a material change and apply it from a later renewal, unless an earlier change is required by law or to address an urgent security risk. If you do not accept a material change, you may cancel before it takes effect.

Governing law

These terms are governed by the laws of New South Wales, Australia. Courts with jurisdiction there may hear disputes, subject to any non-excludable right you have to bring a claim elsewhere.
